This Agreement is made between Mr Barry Jennings of [address] (hereafter referred to as the Confider), and

1 DEFINITIONS:

1.1 OO Ocarina A unique form of ocarina developed by the Confider.

1.2 The Schedule The Schedule annexed to this Agreement.

1.3 Confidential Information All information, samples, drawings and technical details relating to the construction, methods of manufacture and tuning of OO Ocarinas, imparted by the Confider in the lessons in Standard and Advanced Ocarina Making referred to in the Schedule' including but not limited to information relating to;

1.3.1 the making and use of the unique handmade tools for the manufacture of OO ocarinas

1.3.2 - the the selection and use of materials of manufacture,

1. 3.3 the use of advanced breath control methods in tuning,

1.3.4 fipple views and related timbres,

1.3.5 clay batch rotation,

1.3.6 OO Ocarina body configuration and timbre,

1 3 7 complex hollow forms of OO Ocarinas,

1.3.8 burnishing method,

1.3.9 a unique tuning system.

1.4 For the purposes of this Agreement, the Confidential Information excludes information and technical details which:

1.4.1 are concerned with basic ocarina making as referred to in Part One of the Schedule and which are not information or technical details essential to the manufacture or construction of the OO Ocarinas nor allow the creation of high-production ocarinas similar in construction to OO Ocarinas,

1.4.2 have come into the public domain except as a result of a breach of this Agreement,

1.4.3 can be proven to be already known to the Confidant,

1.4.4 can be proved to have been independently developed by the Confidant,

1.4.5 the Confidant is compelled by law to disclose,

1.4.6 the Confidant is required to disclose in order to obtain insurance.

2. In consideration of the Confider providing the Confidential Information to the Confidant, the Confidant agrees;

2.1 that the Confider is the owner of the intellectual property in the Confidential Information,

2.2 to keep the Confidential Information confidential in accordance with the terms and conditions of this Agreement and the rules of law.

2.3 not to disclose the Confidential Information to a third party.

2.4 to confine his/her own production of OO Ocarinas to hand production,

2.5 to limit such production to no more than 2000 units per calendar year.

2.6 to donate approximately one per cent (1%) of profits from the sale of Native American scale (BASIC) Ocarinas to Native American charities of Central and South America.

3. The law governing this Agreement shall be that of the [country applicable].
